1. Agreement to Terms

By downloading, installing, or using the Refynne mobile application ("App") or accessing our website at https://refynne.com ("Website"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you and BPS Dynamic ("Company," "we," "us," or "our").

2. Eligibility

To use Refynne, you must:

Be at least 13 years old (or 16 in the EU/UK)
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the service under applicable law

If you are using Refynne on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

3.1 Account Creation

To access certain features, you may need to create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for:

Keeping your password confidential
Using strong, unique passwords
Enabling additional security features (e.g., biometric authentication)
Logging out from shared devices

4. Description of Service

4.2 Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

Technical issues
Force majeure events

4.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for significant changes.

5. User Responsibilities

5.1 Acceptable Use

You agree to use Refynne only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the service for illegal activities
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the service
Upload malicious code or content
Impersonate others or provide false information
Use automated systems to access the service without permission
Reverse engineer or decompile the application

5.2 Data Accuracy

You are responsible for the accuracy of the financial data you enter. Refynne is a tracking tool and does not verify the accuracy of your entries.

5.3 Financial Decisions

Refynne provides tools for personal finance management but does NOT provide:

Financial advice
Investment recommendations
Tax advice
Legal advice

You should consult qualified professionals for financial, tax, or legal advice.

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, and functionality of Refynne are owned by BPS Dynamic and protected by:

Copyright laws
Trademark laws
Patent laws
Trade secret laws

This includes:

App design and user interface
Source code and algorithms
Graphics, logos, and icons
Documentation and content

6.2 Your Content

You retain ownership of the financial data you enter into Refynne. By using our service, you grant us a limited license to:

Store and process your data to provide the service
Create anonymized, aggregated statistics
Back up your data (if cloud sync is enabled)

6.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us a non-exclusive, royalty-free license to use, modify, and incorporate such feedback into our products.

7. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Subscription and Payments

Refynne offers core features at no cost, including:

Monthly subscriptions
Annual subscriptions

8.3 Payment Terms

If you purchase premium features:

Payments are processed through Apple App Store or Google Play Store
Subscriptions auto-renew unless cancelled
Refunds are subject to the respective store's policies
Prices may change with reasonable notice

8.4 Cancellation

You may cancel subscriptions at any time through:

Your account settings

Cancellation takes effect at the end of the current billing period.

9. Disclaimers

REFYNNE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY

9.2 No Financial Advice

REFYNNE IS A PERSONAL FINANCE TRACKING TOOL, NOT A FINANCIAL ADVISOR. WE DO NOT:

Provide investment advice
Guarantee financial outcomes
Verify the accuracy of your data
Make financial decisions on your behalf

9.3 Data Accuracy

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF:

Calculations performed by the app
Data synchronization
Third-party integrations
Currency conversion rates

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BPS DYNAMIC SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, revenue, or data
Business interruption
Financial losses resulting from use of the service

10.2 Maximum Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED:

The amount you paid us in the 12 months preceding the claim, OR
$100 USD, whichever is greater

10.3 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless BPS Dynamic, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the service
Your violation of these Terms
Your violation of any third-party rights
Your financial data or content

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of law principles.

12.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@refynne.com to attempt informal resolution.

12.3 Arbitration (Where Applicable)

For users in jurisdictions where arbitration is enforceable:

Disputes shall be resolved through binding arbitration
Arbitration shall be conducted in English
Each party bears their own costs

12.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

12.5 Exceptions

The following disputes are exempt from arbitration:

Small claims court matters
Intellectual property disputes
Injunctive relief requests

13. Region-Specific Terms

If you are in the EU or UK:

You have the right to cancel within 14 days of purchase (cooling-off period)

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

Deleting your account in the app settings
Contacting us at support@refynne.com
Uninstalling the app (for local-only accounts)

14.2 Termination by Us

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activity
Abuse the service or other users
Fail to pay for premium services

14.3 Effect of Termination

Upon termination:

Your right to use the service ends immediately
We may delete your data after 30 days
Provisions that should survive termination will remain in effect

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

In-app notification
Email notification
Prominent notice on our website

Continued use of the service after changes constitutes acceptance of the new Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BPS Dynamic.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to a successor entity.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
